Terms and Conditions
Effective from: 30th April 2025
1. DEFINITIONS AND INTERPRETATION
In this Contract, the following words and expressions shall have the following meanings (unless the context requires otherwise):
- “Agency” means Allie Bell, acting as a sole trader under the trade name The Nanny Connection.
- “Candidate” means a person introduced by the Agency to the Client for potential engagement.
- “Client” means any individual or organisation requesting the introduction of a Candidate.
- “Client Brief” refers to the job description and requirements provided by the Client.
- “Engagement” means the employment or other use of a Candidate by a Client.
- “Permanent Engagement” refers to placements of 12 weeks or more.
- “Temporary Engagement” includes placements of up to 12 weeks, including maternity or interim childcare support.
- “Exclusive Agreement” means a Client agrees to work solely with the Agency during a search.
2. CONTRACT FORMATION
The contract becomes binding once the Client provides a Client Brief and the Agency confirms acceptance or begins work. These Terms and Conditions override any other terms.
3. RIGHT TO CANCEL (CONSUMER CONTRACTS REGULATIONS 2013)
If the Client is acting as a consumer and the Contract is entered into without a face-to-face meeting (i.e., at a distance or off-premises), the Client has the legal right to cancel within 14 days of the contract formation without giving any reason.
To exercise the right to cancel, the Client must inform the Agency of their decision to cancel the contract in a clear written statement within the 14-day period.
If the Client requests the Agency to begin work during the 14-day cooling-off period, the Client agrees to waive their right to a full refund. If the service is fully performed during this
time, no refund will be provided. If the service is partially performed, a proportionate fee will apply.
4. FEES AND PAYMENT All fees are due within 7 days of invoice or the Candidate’s start date, whichever is earlier.
UK and EUROPEAN PLACEMENTS:
- Permanent: 15% of annual gross salary
- Exclusive Agreement: 12% of annual gross salary
- Temporary or Maternity: £30 per day or £100 per week. Anything over this period is classed as a permanent placement, and the permanent fee will be due.
- Consultancy introduction: A one-off fee of £45.
INTERNATIONAL PLACEMENTS (USA & Middle East):
- Permanent: 18% of annual gross salary
- Temporary or Maternity: £35 per day or £150 per week for a period of 12 weeks.
Anything over this period is classed as a permanent placement, and the permanent fee will be due.
Fees apply once a Candidate accepts a role verbally or in writing.
If a Temporary placement extends beyond 12 weeks, the Client will be charged the difference between the permanent and temporary fees.
6. CLIENT RESPONSIBILITIES
- Provide an accurate Client Brief.
- Verify references, documentation, visas, and right to work.
- Ensure safe and lawful employment conditions.
- Provide an employment contract and comply with tax and employment laws.
- Inform the Agency immediately of an engagement and its terms.
- Maintain appropriate insurance and suitable accommodation for live-in roles.
7. AGENCY OBLIGATIONS
- Vet Candidates including references, identity documents, and DBS checks where applicable.
- Notify the Client of pending or incomplete documentation.
8. CANCELLATION
If the Client cancels an agreed placement before the start date, 50% of the placement fee remains payable.
9. REPLACEMENT AND REFUND POLICY (PERMANENT ONLY)
A replacement will be offered if:
- The Candidate resigns within 8 weeks without Client fault; or
- The Client terminates the Candidate for valid cause.
- The Agency will make up to 3 replacement introductions within 6 weeks. If no replacement is found, refunds apply:
• Weeks 1–2: 50%
• Weeks 3–4: 40%
• Weeks 5–6: 30%
• Week 7: 20%
• Week 8: 10%
Refunds apply only if the Client notifies the Agency within 48 hours of departure, has paid all fees, and has not changed the role terms.
10. LIABILITY
The Agency is an introduction service and not the employer. Suitability and hiring decisions rest solely with the Client. The Agency is not liable for losses, damages, or conduct by the Candidate.
11. CONFIDENTIALITY
All personal and business information is confidential. Candidate details must not be shared with third parties.
12. GOVERNING LAW
This contract is governed by the laws of England and Wales.
International Clients agree to this jurisdiction unless otherwise required by local law.
13. MISCELLANEOUS MATTERS
- If any provision of this contract is found to be invalid or unenforceable, it shall not affect the validity of the remainder of the contract.
- No delay or failure by either party to exercise any right shall operate as a waiver of that right.
- The contract constitutes the entire agreement between the parties and supersedes all prior discussions or representations.
- The Agency shall not be liable for any failure to perform its obligations due to causes beyond its reasonable control.
- Communications under this contract must be made in writing and delivered by hand, post, or email.
- Nothing in this contract grants any rights under the Contracts (Rights of Third Parties) Act 1999 to any third party.
